The following text comes directly from an actual Lego Systems, Inc. order
invoice/packing slip from March 2003 on a form dated January 1993. Only
relevant portions reproduced here exactly as presented on the form; emphasis is
exactly as on the form.

TERMS AND CONDITIONS
PRICES: F.O.B., Enfield, Connecticut. All prices subject to change without
notice, and all orders SUBJECT TO ACCEPTANCE by LEGO Systems, Inc. in Enfield,
Connecticut.
RESALE OF PRODUCTS: The products subject to this invoice are being sold to
Purchaser for eventual resale in their original packaging to the end consumer
and Purchaser is prohibited from repackaging or otherwise altering the products.
PURCHASER'S PURCHASE ORDER FORMS: Orders received on a Purchase Order form of
the Purchaser will only be honored subject to all these terms and conditions.
LEGO Systems, Inc. will not accept any terms other than those set forth on these
Price Lists, and acceptance by LEGO Systems, Inc. of any order is conditioned on
the Purchasers assent to these terms. Additional or different terms set forth
on the Purchaser's orders shall not be applicable.
ASSIGNMENT: Any assignment by the Purchaser of the Purchaser's order or any
rights resulting from acceptance of an order by LEGO Systems, Inc. without the
written consent of LEGO Systems, Inc. shall be void.
CANCELLATION: LEGO Systems, Inc. shall have the absolute right to cancel an
order if: (a) at any time all terms and conditions contained herein are not
strictly complied with by the Purchaser; (b) at any time the Purchaser becomes
bankrupt or insolvent, makes an assignment for the benefit of creditors, goes
out of business, or if any proceeding, voluntary or involuntary, involving the
Purchaser is instituted under the bankruptcy or insolvency laws; or (c) at any
time, in the reasonable judgement of LEGO Systems, Inc., the Purchaser will be
unable to comply with all terms and conditions contained herein.
THE PURCHASER AGREES THAT NEITHER A SPECIFIC PURCHASE NOR ANY NUMBER OF SPECIFIC
PURCHASES IN ANY WAY CREATES A DISTRIBUTION, FRANCHISE, RETAIL OR SIMILAR
RELATIONSHIP BETWEEN IT AND LEGO SYSTEMS, INC. AND THAT LEGO SYSTEMS, INC. BY
ITS ACCEPTANCE OF AN ORDER, IS NOT IN ANY WAY OBLIGATED TO ACCEPT FUTURE ORDERS
FROM THE PURCHASERS.
