You make a good distinction between film-character and comic-character rights,
but it might not apply across the board in this case. Although LEGO did indeed
have the tie-in rights for the Spiderman films, it appears that MEGABLOKS has
comic-character rights as well as (some) film-character rights. Ken Dowd was
kind enough to link to millionaireplayboy.com, wherein we find this set:

The graphics at the top of the box clearly refer to the forthcoming Fantastic
Four film. However, as you've correctly observed, the MEGABLOKS Spiderman sets
were not related to the film (although the choice of Doc Ock as the villian
seems deliberate.
